Founded in 2019, GeoPura has pioneered the creation of reliable, emission-free power, delivering energy where it's needed most with its innovative Hydrogen Power Unit (HPU™) technology. These advanced systems, powered by Ballard's fuel cell modules, are designed to provide clean, silent, and off-grid energy with remarkable reliability. Additionally, Andrew Cunningham has taken on the role of President at Ballard after the merger, further reinforcing their commitment to addressing the energy challenges faced by customers worldwide. He highlighted the collective expertise in hydrogen production and infrastructure as a vital asset in offering practical solutions to pressing energy issues, including replacing fossil energy sources and enhancing energy security.

The acquisition agreement outlined a total upfront payment of £275 million, comprising £82.5 million in cash and the issuance of approximately 49.6 million newly minted Ballard common shares. Also included were Restricted Share Units, which are to be fulfilled with an additional 1,084,540 shares after a year. On a pro forma basis, former GeoPura shareholders will hold approximately 14.1% of the outstanding common shares of Ballard. Furthermore, Ballard may pay a contingent additional consideration of up to £27.5 million based on the achievement of certain financial milestones by GeoPura after the agreement.

As the transaction becomes effective, it also brings former British Minister for Business and Industry, Lord Richard Harrington, onto the Board of Ballard along with Andrew Cunningham, ensuring a strong leadership team to guide the new entity.
