Vail Resorts Announces Significant Changes in Board of Directors Ahead of 2025 Election

Vail Resorts Board of Directors Transitions

In a significant announcement made on September 29, 2025, Vail Resorts, Inc. (NYSE: MTN) disclosed shifts within its Board of Directors. Longtime members John Sorte and John Redmond have decided not to pursue reelection when their terms expire at the upcoming 2025 Annual Meeting of Stockholders. Their decision marks the end of an era, with Mr. Sorte having served on the board since 1993 and Mr. Redmond since 2008.

Throughout their tenure, Sorte and Redmond have been pivotal in steering Vail Resorts to become the world's largest mountain resort company. They have provided invaluable insight and guidance that have greatly influenced the company's mission and operational strategy. Under their leadership, the company expanded from a regional player into a global leader, facilitating the experience of a lifetime for skiers, boarders, and outdoor enthusiasts alike.

Rob Katz, Chairperson and CEO of Vail Resorts, expressed heartfelt gratitude to both board members for their decades of service. Katz emphasized how their efforts, particularly during the launch of the Epic Pass and strategic acquisitions in North America, as well as the expansion into Europe and Australia, have been instrumental in the company's growth and market position. "We wish them both the very best," said Katz.

Reflecting on their time with Vail Resorts, Mr. Sorte noted, "Serving on Vail Resorts' Board for over three decades has been an incredible experience. What started as a strategic vision to make skiing and riding more accessible to all has led to our global expansion from a small local player to the world's premier mountain resort company. I look forward to following the Company's successes for years to come."

Meanwhile, Mr. Redmond remarked, "It has been a pleasure to be part of Vail Resorts' expansion since joining the Board in 2008. I have been incredibly impressed by the Company's ability to consistently deliver exceptional guest experiences. Vail Resorts is well positioned to continue setting the industry standard long into the future."

As of the conclusion of their terms, the Board will consist of nine directors, with eight being independent members. This aligns with Vail Resorts' commitment to refresh its Board regularly, ensuring it possesses the right mix of skills and expertise crucial for supporting the company's strategies and fostering sustainable long-term shareholder value.

Importantly, it has been confirmed that neither Mr. Sorte nor Mr. Redmond's decision not to seek reelection stemmed from any disagreements regarding the company's operations, policies, or practices.
