Trilogy Metals Secures Strategic Investment from U.S. Department of War



Trilogy Metals Inc. has recently announced the successful execution of definitive agreements with the U.S. Department of War (DoW) regarding a strategic equity investment amounting to approximately $35.6 million. This investment is intended to enhance the exploration and development of the Upper Kobuk Mineral Projects (UKMP) located in northwestern Alaska. The UKMP is jointly held by Trilogy Metals and South32 Limited through the venture Ambler Metals LLC.

With the finalization of this agreement, Trilogy Metals marks a significant milestone that reflects its ongoing commitment to fostering a secure domestic supply of critical minerals for the United States. The financial injection is expected to play a crucial role in propelling the development of the Ambler Mining District, known for its rich mineral deposits, including copper, zinc, lead, gold, and silver.

The terms of the investment are laid out as follows: the DoW will provide about $17.8 million to Trilogy Metals in exchange for approximately 8.2 million units at a price of $2.17 each. Each unit consists of one common share coupled with three-quarters of a 10-year warrant, which can be exercised at a price of just $0.01 per share upon completion of certain conditions, such as the progress of the Ambler Access Project.

Additionally, the DoW is set to pay a similar amount to South32 to acquire some of the existing common shares and a call option to purchase more shares at a significantly low price in the future. Upon completion of the transaction, the DoW’s stake in Trilogy Metals will be approximately 10%, reinforcing the government's increasing interest in securing domestic mineral resources.

Tony Giardini, President and CEO of Trilogy Metals, expressed optimism regarding this partnership, emphasizing the significance of building a robust local supply chain for essential minerals. He mentioned the company's collaborative efforts with South32, federal and state agencies, and local communities to responsibly develop the mineral-rich area that could contribute significantly to the U.S. economy.

The decision by the DoW to invest in Trilogy Metals highlights a proactive strategy to strengthen America's industrial framework while mitigating foreign supply risks. George K. Kollitides II, representing the DoW, reiterated the importance of supporting such projects and indicated that the investment aligns with national interests in enhancing local mineral production capabilities.

As the project proceeds, the funds will not only aid in advancing exploration but also in developing the necessary infrastructure within the Ambler Mining District, which includes the establishment of the Ambler Access Project—a crucial route linking the mining area to the Dalton Highway.
