Dauch Corporation Unveils Inducement Award
Dauch Corporation, renowned for its leadership in the automotive supply industry, has announced a significant development regarding employee incentives related to executive appointments. Effective from November 2, 2026, the company has granted an Inducement Award to Nathan Iles, who has been appointed as the Senior Vice President of Finance.
The Inducement Grant includes two major components: the Performance Breakout Award and time-based restricted stock units. The Performance Breakout Award covers a target of 90,909 shares of Dauch’s common stock, which can surge to a potential award of 272,727 shares, depending on specific performance criteria being met.
Details of the Performance Breakout Award
The Performance Breakout Award is contingent upon multiple factors, chiefly Iles’ continued employment with Dauch and achieving a specified stock price hurdle during the designated performance period. The Performance Period for this performance award commences on November 2, 2026, and concludes on March 31, 2029. If the average closing price for Dauch’s common stock reaches or exceeds $12.00 over 20 consecutive trading days, then 100% of the target award will be granted.
Moreover, the stock price hurdle will increase incrementally by $1.00, with the payout percentage enhancing by 20% for each increase up to a maximum stock price hurdle of $22.00, allowing for a maximum payout percentage of 300%. This structure encourages not only long-term commitment from executives but also aligns their interests with those of shareholders.
Upon meeting the performance targets, 50% of the earned Performance Breakout Award will vest on March 31, 2029, with the remaining shares vesting a year later.
Time-Based Restricted Stock Units
In addition to the Performance Breakout Award, Nathan Iles has also been granted time-based restricted stock units covering 107,759 shares. These units will vest after one year from the grant date, contingent upon his ongoing employment with Dauch during that period.
Approval of the Inducement Grant
The Compensation Committee of Dauch's Board of Directors has approved this Inducement Grant, which falls under the company’s 2026 Inducement Omnibus Incentive Plan. This initiative aligns with the New York Stock Exchange Rule 303A.08, which allows for inducement awards to attract talent critical to the company’s strategic objectives.
