160,256 RSUs, calculated based on the average closing price of Dolby’s Class A common stock over the 30 trading days leading up to the award date. These stock units are designed to vest semi-annually over a two-year period, provided that Mr. Whitten remains employed with Dolby through each vesting date.
Further enhancing this compensation structure, Mr. Whitten will also receive
600,000 performance-based RSUs, which are unique in their division into five tranches. Each tranche, consisting of 150,000 or 100,000 shares, becomes eligible to vest only if specific stock-price hurdles are met—set at $75, $100, $125, $150, and $175. The evaluation period for triggering these performance vesting events spans across a five-year timeline and requires the stock price to meet the metrics averaged over a 60-day trading window. Vesting will be confirmed upon the successful certification of each respective performance threshold, once again contingent on Mr. Whitten's continued role as CEO.
