EFGH and Minerva: A New Era in Ghana's Digital Infrastructure
In a significant move to bolster digital infrastructure in Ghana, Embed Financial Group Holdings (EFGH) and Minerva Data Limited, a subsidiary of Hiedberg Holdings, have entered into a Master Services Agreement (MSA). This strategic partnership is aimed at exploring, structuring, and fostering the development of advanced data centers across Ghana, as well as in other agreed markets.
Collaboration Framework
The MSA establishes a structured framework for collaboration between EFGH and Minerva. This framework focuses on evaluating potential project sites, reviewing existing feasibility studies, and coordinating regulatory submissions. Moreover, it sets out clear workflows through Statements of Work (SOWs) that define specific initiatives. Key considerations such as confidentiality, data sovereignty, and intellectual property rights are explicitly addressed, reflecting the critical nature of digital infrastructure in Ghana's burgeoning tech landscape.
Under this collaboration, Minerva takes the lead in sourcing land, conducting local due diligence, and engaging with Ghanaian authorities. In turn, EFGH offers its expertise in digital infrastructure design, systems architecture, and international partner coordination. A Joint Steering Committee has been established to oversee governance, ensuring that both parties retain equal decision rights, along with clear and organized processes for escalation to maintain transparency and progress throughout the project phases.
Compliance and Regulatory Aspects
The MSA outlines meticulous compliance expectations that align with various regulations, including Ghana’s Data Protection Act, Singapore's Personal Data Protection Act, and the EU's General Data Protection Regulation. Each SOW included in the partnership will specify its own scope, deliverables, timelines, and commercial terms, ensuring that activities proceed only under a clearly defined blueprint that both parties have ratified.
