In May 2026, Japan's merger and acquisition (M&A) activity witnessed an unprecedented escalation. The total number of recorded transactions rose to 121, marking an increase of 21 compared to the previous year. The total transaction value surpassed an impressive 1.4 trillion yen, fueled primarily by the privatization deal involving カカクコム, valued at approximately 550.9 billion yen. This monumental shift reflects a growing trend where companies are increasingly concentrating on their core operations, shedding non-core activities, and actively investing in sectors poised for growth.

M&A Activity Trends



Throughout 2026, the pace of M&A activity is on track to surpass the record high set in 2025, where 1,344 transactions were reported. Notably, from January to May, each month consistently recorded over 100 transactions, marking the first time since the commencement of statistical surveys in 2008 that such a phenomenon has occurred. During this five-month period, the cumulative number of deals reached 622, surpassing the year-on-year total by 72, suggesting that the annual tally could potentially reach 1,500 transactions.

This accelerating trend can be attributed to firms seeking to enhance capital efficiency and focus on their primary business areas, leading to an aggressive divestiture of non-core segments. Furthermore, May saw a remarkable surge in transactions involving foreign investment funds privatizing Japanese companies and major domestic firms acquiring international businesses, indicating a significant global capital movement.

1. カカクコム
- Transaction Value: Approximately 550.9 billion yen
The Swedish investment fund EQT successfully executed a tender offer to privatize カカクコム. In a rapidly transforming digital marketplace, the decision to go private aligns with the strategic necessity to implement medium-to-long-term growth strategies without the short-term pressures of public performance, leveraging EQT's global expertise and networks for potential business expansion and service enhancement.

2. ENEOS Holdings
- Transaction Value: Approximately 336 billion yen
ENEOS Holdings is set to acquire fuel oil sales ventures under Chevron in Southeast Asia and Australia. As domestic oil demand continues to decline, this acquisition aims to strengthen ENEOS's operational foundation in the growing Asia-Oceania region and diversify its overseas revenue streams to enhance global competitiveness.

3. Kinden Corporation
- Transaction Value: Approximately 85 billion yen
Kinden is taking over Koden Corporation, a subsidiary of Mitsubishi Electric. By integrating Koden into its operations, Kinden seeks to bolster its construction capabilities and technological strength, thereby steering towards further business expansion.
