As various special corporations, such as social welfare entities and medical institutions, confront issues like the absence of successors and the need for reorganizing management resources, this seminar aims to shed light on the unique challenges and strategies related to M&A in these entities.

Special corporations often face numerous institutional constraints that differ significantly from those in profit-oriented businesses, including regulations, public assets, and governance structures. Hence, typical M&A frameworks may not always apply in their case. This seminar seeks to clarify the fundamental aspects of M&A in business entities and provide a comparative analysis on the institutional and practical differences involved in special corporations. Furthermore, it will introduce hybrid M&A cases where business companies and social welfare corporations have been transferred together, explaining how complex succession schemes with varying organizational forms have been systematically and practically addressed.

With over a decade of experience within the Tsujihongo Tax Corporation group, Chieko has been involved in various reforms concerning public corporations, social welfare organizations, and public accounting. Drawing from her expertise, she has recently focused on executing hybrid M&A schemes that facilitate smooth organizational restructuring and succession in complex regulatory environments. She addresses diverse needs beyond conventional M&A, providing comprehensive support and proposals tailored to special corporations.
