Essity Expands Its Market Reach by Acquiring Kenvue's Feminine Care Brands in Brazil

In a strategic move to enhance its portfolio, hygiene and health company Essity has announced the acquisition of Kenvue's feminine care segment in Brazil. This acquisition includes well-known brands such as Carefree, Sempre Livre, and o.b., totaling a purchase price of approximately USD 284 million (or around SEK 2.7 billion) on a cash and debt-free basis. This acquisition marks an important step for Essity in solidifying its leadership in the feminine care market across Latin America.

The Essence of the Acquisition

The deal was structured as an asset purchase from specific subsidiaries of Kenvue, which encompasses not only the ownership of these well-established brands but also the related manufacturing equipment situated in Brazil. For the fiscal year ending June 30, 2026, the acquired business reported net sales of about BRL 800 million (around SEK 1.4 billion), reflecting its strong profitability and relevance in the market.

"This acquisition enables us to firmly plant our flag in the feminine care domain in Brazil, significantly advancing our strategy of growth in essential and value-generating categories," said Ulrika Kolsrud, President and CEO of Essity. "With Brazil identified as a crucial market for growth in hygiene and health, we are already a leader in incontinence products and now look to expand that success in the feminine care area."

Regulatory Process and Future Prospects

As with most acquisitions, this transaction is contingent upon receiving regulatory approval in Brazil and meeting customary closing conditions, as well as the completion of the Kimberly-Clark and Kenvue assessment. The acquisition is expected to finalize during the second quarter of 2027, as Essity awaits the necessary regulatory green light.

A Growing Portfolio

Essity is recognized as a rapidly expanding global player in feminine care, boasting a diverse range of products that includes sanitary pads, liners, tampons, and intimate hygiene products. Their well-known brands include Libresse, Bodyform, Nana, Saba, Libra, and Nosotras. Earlier in February 2026, Essity also completed the acquisition of several brands including Carefree, Stayfree, and o.b. from Edgewell Personal Care in North America; this recent purchase from Kenvue further complements their existing portfolio.

Brazil's Feminine Care Landscape

Brazil holds significant importance as one of the world’s largest hygiene markets, ranked fourth in the feminine care industry on a global scale. Already a market leader for incontinence products through its TENA brand, Essity has established a strong foothold in Brazil, including a manufacturing facility located in Jarinu. The company is also deeply involved in Professional Hygiene and Medical Solutions.

Conclusion

The acquisition of Kenvue’s feminine care division signifies a robust commitment from Essity to become a comprehensive player in the hygiene sector. As they look to capitalize on Brazil's considerable growth potential in both feminine care and hygiene products, this strategic move epitomizes their vision for success in various essential health categories. With continued investment and development, Essity aims to lead the way in meeting evolving consumer needs across Latin America, solidifying their status as a key player in the industry.
