Jiangsu Muyang Group Takes Legal Action Against Former Executives for Corporate Damages

Jiangsu Muyang Group's Bold Legal Move Against Former Executives

In a significant legal development, Jiangsu Muyang Group Co., Ltd. has initiated legal proceedings against former executives accused of inflicting substantial harm to the company’s interests. Recently, the Jiangsu High People’s Court accepted the lawsuit filed by Muyang Group against Fan Tianming and other individuals, including various associated entities such as the FAMSUN Group and FAMSCEND. This move marks a crucial step in Muyang Group's relentless pursuit to hold accountable those alleged to be responsible for the damages incurred over the years.

Founded in Yangzhou, China, Muyang Group is renowned as one of the pioneering manufacturers in the feed machinery industry of the country. Following its restructuring in 1986, the company experienced remarkable growth, ultimately positioning itself as the second-largest global manufacturer and the leading one in Asia for specialized feed production machinery. At its peak, the company boasted a clearly defined ownership structure, which has since been embroiled in disputes that triggered complex legal battles.

Historical Context of Corporate Issues

The origin of the ongoing disputes can be traced back over a decade, specifically to the events surrounding the company's board of directors' restructuring in 2008. During a turbulent period, shareholder Xu Ronghua was reportedly coerced into transferring his 15.51% shareholding at below market value while he was held at a detention center. This incident initiated what would widely become known as the 'Muyang Case', drawing considerable scrutiny over corporate governance and shareholder rights in China.

The complexity increased when, in December 2017, the Supreme People’s Court of China identified this case as one of three significant files involving wrongful decisions regarding property rights. After extensive legal proceedings that spanned more than ten years, the Jiangsu High People’s Court upheld a previous ruling on May 14, 2020, which determined that Xu Ronghua's share transfer had been made under duress, thereby annulling the agreement and restoring his rights.

On January 9, 2024, the Administrative Approval Service Center in Hanjiang District restored Xu Ronghua’s 15.51% shareholding in Muyang, reflecting the court’s commitment to rectify the injustices faced by the rightful shareholders.

Current Legal Action

The recent lawsuit stems from a broader context of accusations involving intentional harm to Muyang Group's business interests following the resolution of the shareholder dispute. The latest court ruling, noted as civil judgment number (2021) Su Min Zhong 259, explicitly stated that Fan Tianming and associates misappropriated corporate assets by transferring Muyang Group's business to other corporate platforms. These actions were characterized by altering the contractual parties within sales agreements and misusing the company's reputation and operational framework to dilute the company's assets, thereby endangering the financial stability of Muyang Group.

With significant financial repercussions at stake, perhaps amounting to tens of millions of yuan, Jiangsu Muyang Group and its counterpart, Muyang Co., Ltd., are adamant about initiating proceedings against those involved, seeking redress for the alleged misappropriation of corporate interests. The organization is not only after legal accountability but also aims to reclaim assets and restore its business operations that were reportedly taken away during this tumultuous period.

As Muyang Group stands at this intersection of legal confrontation, the implications of this case will undoubtedly reverberate beyond the company, shedding light on the essentiality of corporate governance and accountability in China's evolving market landscape. This legal battle is likely to be closely monitored by stakeholders, investors, and regulatory bodies alike, as it emphasizes the critical need for fair play and transparency in business practices.

Moving forward, Jiangsu Muyang Group is set on this challenging path to reclaim its rightful position within the industry, a necessary step that reflects its mission to uphold integrity and responsibility in its operations and dealings.
