Arizona Court Awards $323 Million Judgment to Gray Development Group Against ZOM Living Over Contract Breach

In a landmark ruling, a Maricopa County court has ordered ZOM Holding Inc., operating under the name ZOM Living, to pay a staggering $323 million in compensatory damages to Gray Development Group. This ruling follows a lengthy 12-day trial and was solidified by a unanimous jury verdict. The legal proceedings were tied to claims stemming from a proposed joint venture between the two companies, which was intended to spearhead a series of luxury multifamily and commercial projects in both Phoenix and Scottsdale.

The lawsuit highlighted a substantial development pipeline proposed by Gray Development Group, consisting of 13 projects with an estimated value of $1.4 billion, which had been in conceptualization and planning for over a decade. In 2019, Gray Development Group invited Florida-based ZOM to join their efforts in a joint venture, which would have marked ZOM’s inaugural entry into the Arizona market.

Prior to sharing sensitive and proprietary information necessary for the collaboration, the two parties engaged in a mutual confidentiality and non-circumvention agreement. This agreement was intended to protect the interests of both entities as vital project details were exchanged, encompassing planning documents, market analysis, financial breakdowns, and local business relationships developed by Gray over decades in Arizona.

However, during a 10-month period of contractual obligation, evidence revealed that ZOM made numerous requests for confidential data under the agreement. Yet, instead of pursuing the joint venture, ZOM circumstantially undermined Gray Development by proceeding independently with the projects, which had previously been on the drawing board for years.

Bruce Gray, President and CEO of Gray Development Group, expressed his gratitude towards the jury's decision, stating, "The jury sent a loud, clear, unanimous message. You cannot enter into a deal and then go around the very people who made it possible. Contracts matter. ZOM did exactly what they promised not to do. But the system worked. I'm grateful to the jury for carefully weighing all the evidence during a long trial."

Unfortunately, the outcome of this lawsuit marked a devastating blow for Gray Development Group, which was forced to cease its operations in 2020 after a 30-year legacy as a pioneering multifamily developer in Arizona. The protracted litigation finally concluded with this monumental ruling.

Despite the legal battle, ZOM Living continues its presence in Arizona, with four major apartment communities currently under construction and another project in the pipeline—the only known enterprises they have in the state. Throughout the trial, Gray argued that these projects were originally formulated and designed by their team long before ZOM’s involvement, asserting that ZOM was encroaching upon a development strategy crafted by Gray as part of a larger mixed-use project portfolio.

Headquartered in Orlando, ZOM Living specializes in the development of multifamily and senior living communities across the United States and maintains regional offices in various locations including Boston, Dallas, Fort Lauderdale, Nashville, Phoenix, and Raleigh. The company is owned by Timeless Investments, the Amsterdam-based family office of Dutch businessman Hans van Veggel, who acquired ZOM in 1997.

Gray Development Group, founded by architect Bruce Gray in 1991, was once recognized as the leading multifamily developer in Arizona for over a decade, having designed and developed more than 15,000 apartment and condominium units in the metropolitan Phoenix area. Its commitment to innovation and quality led to national accolades, with specific projects receiving the esteemed National Apartment Community of the Year awards. This recent judgment not only underscores the importance of contract fidelity in business but also serves as a pivotal case in the ongoing evolution of real estate development partnerships.
