Northstar Clean Technologies Secures Initial C$2.14 Million Strategic Investment
In a significant development for the sustainable waste management sector,
Northstar Clean Technologies Inc. has announced the closing of an initial subscription worth
C$2,138,400 as part of a larger funding plan. This investment falls under Tranche 2 of a previously declared
US$10 million strategic investment from
Allmine Paving, LLC, which is a subsidiary of
TAMKO Building Products LLC. This funding is set to support Northstar's mission of addressing environmental waste through innovative technology.
A Move Towards Sustainable Solutions
Northstar Clean Technologies specializes in the recovery and processing of asphalt shingles, a material that often ends up in landfills. By reprocessing these shingles, Northstar not only extracts valuable components like liquid asphalt for use in new construction materials but also incorporates other useful materials such as aggregate and fiber into its operations.
The recent investment involves
unsecured convertible debentures that have a tenure of three years and an attractive interest rate of
10% per annum, payable semi-annually. The debentures can be converted into company units at a conversion price of
C$0.29 per unit. Each unit comprises a common share and a half warrant, opening new avenues for investors eager to be part of this sustainable initiative.
A Bright Future with Allmine Paving
The private placement will be pivotal in furthering the company’s operations and expansion plans. The proceeds are earmarked for enhancing working capital and supporting general corporate needs. Notably, there is potential for an additional
C$237,600 from Allmine under the same favorable terms, depending on the release of project holdback by Emissions Reduction Alberta.
The involvement of insiders in this investment also qualifies as a related party transaction. Northstar intends to leverage exemptions from formal valuation and minority approval requirements, ensuring compliance with regulatory frameworks while enhancing operational effectiveness.
About Northstar Clean Technologies
