Solidion Technology Proposes Acquisition of Flux Power Despite Challenges
Solidion Technology Aims to Acquire Flux Power Holdings
In a bold move, Solidion Technology, Inc. (NASDAQ: STI) has publicly disclosed its intent to acquire Flux Power Holdings, Inc. (NASDAQ: FLUX). This announcement, delivered via an open letter to Flux's shareholders, underscores both the value that Solidion sees in Flux and the significant financial hurdles that Flux currently faces.
A Proposal Rooted in Financial Realities
Solidion, a leading provider of advanced battery technology solutions, has expressed its desire to proceed with a 100% equity acquisition of Flux Power. The company believes that its offer reflects not only its commitment to enhancing shareholder value but also the realities of Flux's financial performance. Jaymes Winters, CEO of Solidion, emphasized the urgency of the situation by stating that shareholders deserve better options than potential future losses.
Despite the inherent value in Flux’s products and customer base, Solidion points out that the current stock price does not accurately reflect Flux's COA performance due to expected dilution from upcoming equity issuances. Solidion's non-binding offer is reportedly lower than the previous day's closing price, revealing an acknowledgment of Flux's financial struggles.
Financial Challenges at Flux Power
Flux’s recent financial statements paint a concerning picture: revenues have plummeted by approximately 37%, dropping from $66.4 million in 2025 to $42.1 million in 2026. Moreover, Flux recorded an operating loss of $6.5 million, a net loss of $7.4 million, and a negative cash flow from operations of around $5.9 million. With cash reserves dwindling to roughly $0.3 million and a cumulative deficit of $113.8 million, the outlook appears challenging.
Additionally, there are serious liquidity issues. An independent auditor has raised significant doubts about Flux's ability to continue as a going concern, and the company is currently in default on its credit facility with Gibraltar Business Capital. A requirement from Gibraltar demands Flux raise at least $4 million in equity within 50 days, a situation that could lead to substantial shareholder dilution.
Solidion's Vision for Improvement
Solidion believes that its acquisition of Flux Power could usher in a necessary overhaul of the company's operations and financial strategy. With approximately $27.7 million in cash and cash equivalents, Solidion aims to stabilize Flux’s finances by potentially streamlining operations and administrative costs while focusing on customer acquisition, sales growth, and product competitiveness.
Despite previous attempts to engage with Flux management and its board, Solidion has expressed frustration with their lack of responsiveness, particularly given the pressing financial situation.
Looking Forward
As Solidion moves forward with its plans, it understands that the entirety of a potential transaction is subject to numerous legal, regulatory, and financial hurdles. These include the completion of due diligence and obtaining necessary approvals. The acquisition, if completed, could be pivotal for both companies, bringing Solidion's robust financial backing and operational expertise to a beleaguered Flux Power.
In sum, Solidion's acquisition proposal not only highlights the urgent need for Flux to reassess its strategies but also reflects a calculated attempt to create a more resilient battery technology powerhouse capable of navigating the competitive landscape. Shareholders and market watchers alike will be keen to see how the situation evolves.
