Bancolombia S.A. to Delist from NYSE
In a significant move for its financing strategy, Bancolombia S.A., a leading financial institution in Colombia, has declared its intention to voluntarily delist its 4.875% Subordinated Notes maturing in 2027 and 8.625% Subordinated Notes due in 2034 from the New York Stock Exchange (NYSE). The announcement, made on July 22, 2025, indicates that the bank is exploring better opportunities by transitioning these notes to the Singapore Exchange (SGX).
Reasons Behind the Decision
The decision to delist was reached after thorough evaluations by Bancolombia's board of directors regarding the respective benefits and disadvantages of maintaining listings on each exchange. Bancolombia aims to pursue a more favorable trading environment, with expectations that the SGX will better meet its strategic goals.
Timeline of Transition
Bancolombia has informed the NYSE of its plans and anticipates submitting a Form 25 to the U.S. Securities and Exchange Commission (SEC), which will formally initiate the delisting process. This is set to take place on or about August 1, 2025, with actual delisting occurring about 10 days later. Consequently, the last trading day for the notes on the NYSE is pegged for around August 11, 2025.
Following the completion of the delisting, Bancolombia plans to file a Form 15 with the SEC to suspend its reporting duties which are required under Section 15(d) of the U.S. Securities Exchange Act.
New Beginnings on SGX
Bancolombia is keen on commencing trading of the notes on the SGX, with this expected to begin on or about August 12, 2025. This strategic shift reflects Bancolombia's efforts to optimize its capital markets activities and provide its investors with potentially more advantageous trading conditions.
