Craft Unveils Tailwind: The First Exchange Fund Unlocking Frozen Wealth from Stock

Craft's Tailwind: A Revolutionary Approach to Wealth Management

Craft, a wealth management platform based in Miami, has launched Tailwind, a groundbreaking exchange fund designed to convert concentrated stock positions into usable, income-generating wealth. This unique fund is backed by notable investors such as Spark Capital, Kleiner Perkins, and Susa Ventures.

The Innovation of Tailwind

Tailwind is the first of its kind, providing a revolutionary approach for early-stage investors and employees who often find themselves stuck with unrealized wealth from stock holdings. The fund allows individuals to contribute appreciated public stock and receive a diversified, tax-deferred position without the traditional barriers typically seen in exchange funds. Unlike other funds that require significant investments, Tailwind accepts contributions starting at $100,000, thus broadening the access for many investors.

The launch of Tailwind coincides with a surge of initial public offerings (IPOs), which is set to create a wave of new millionaires. However, many people are left grappling with tough decisions: should they continue holding their concentrated stock positions and expose themselves to risk? Or should they sell and incur hefty capital gains taxes? Tailwind provides a third option.

Izzy Slodowitz, CEO and founder of Craft, emphasized the need for solutions post-IPO. He stated, "Everyone is focused on the IPO moment, but almost no one is solving for what comes after. We built Tailwind so that founders and early employees can shift from frozen wealth to actually usable assets without facing daunting tax bills."

Structure of Tailwind

Tailwind distinguishes itself from traditional exchange funds by incorporating operating assets rather than relying solely on illiquid private real estate components. Each fund contributes a public equity sleeve alongside Craft's private aviation fleet, leveraging income from charter demand. This innovative structure allows for a targeted 6% annual yield, which can be cashed out or redeemed for private flight credits at preferential rates.

The essence of Tailwind is not just to free up wealth but also to diversify wealth across rapidly growing and lucrative income-generating assets. This modernized approach seeks to evolve the concept of exchange funds into versatile fiscal instruments that provide tangible benefits.

How It Works

Investors can contribute their appreciated stocks to Tailwind under Section 721 of the Internal Revenue Code. In turn, they gain a tax-deferred, diversified position in the fund. Upon committing to a seven-year term with Tailwind, members receive distributions in the form of cash, flight credits, or a combination of both.

Craft's in-house broker-dealer, Pod Securities, plays a pivotal role in simplifying the contribution process. This capability results in faster onboarding and greater control for members compared to conventional third-party placements. Such efficiency could be crucial as many emerging millionaires look to navigate the complexities of their newfound wealth.

Following its initial success with its first product, Glidepath, which required a $1.5 million minimum and garnered over $50 million from founders and early employees, Tailwind builds on this traction and aims to serve a broader audience.

Seth Berman from Susa Ventures remarked, "This is the right product at the right time. Craft is making a structure historically reserved for the ultra-wealthy accessible to those who are creating today’s leading companies."

Future Plans

Craft has outlined plans to expand Tailwind’s redemption options beyond flight credits to include airline credits, hotel stays, and other real-world benefits. Furthermore, they aim to introduce new income-generating asset classes into the fund structure, maximally benefiting participants.

In conclusion, Tailwind by Craft signifies a major step towards democratizing access to exchange funds and unlocking the potential of concentrated stock holdings. By allowing founders and early employees the opportunity to leverage their stocks for real-world benefits, Craft is reshaping the financial landscape for those creating tomorrow's most valuable companies.
