Vale Base Metals Concludes Ownership Restructuring at Thompson Mine Complex

On October 18, 2026, Vale Base Metals (VBM) disclosed a significant transaction that heralds a new era for the Thompson Mine Complex located in Manitoba, Canada. This deal transitions operational responsibilities to Exiro Nickel Company, signifying a refreshed direction for one of the region's critical mining hubs.

Overview of the Transaction

The completed transaction sees Exiro Nickel taking over the operation of the Thompson Mine Complex, with VBM retaining a minority stake of 18.9%. Additionally, a multi-year off-take agreement has been established to secure future sales of nickel concentrate produced at the complex. This restructuring receives a robust financial boost, backed by a commitment to invest $200 million (approximately CAD 280 million) in the operation.

Exiro Nickel is a collaborative venture comprising Exiro Minerals Corp., Orion Resource Partners LP, and Canada Growth Fund Inc., which collectively own a majority stake of 81.1% in the venture. These partners are poised to emphasize sustainable and responsible operation of the mining site, echoing a dedication to engage with local stakeholders and indigenous communities throughout this transition.

Statement from Leadership

Shaun Usmar, Chief Executive Officer of VBM, expressed optimism regarding the transaction's implications. He remarked, "The completion of this transaction marks an important new chapter for Thompson and for the people who have built its proud mining history. The site boasts significant nickel reserves and a dedicated workforce, many of whom have ties to the community spanning generations. We are confident that committed ownership, strategic investments, and strong leadership will equip Thompson to realize its full potential as a resilient, regionally significant site in Manitoba."

Usmar also acknowledged the new partners, stating, "Congratulations to our partners – Exiro, Orion Resource Partners, and the Canada Growth Fund – on this important milestone. We remain committed stakeholders in Manitoba, believing in the strategic value of Canadian nickel, ensuring that we maintain our connection to this vital mining region. Additionally, I extend my gratitude to our employees and all stakeholders who have collaborated with us over the sixty-plus years of Thompson's operation."

Importance of Thompson Mine Complex

The Thompson Mine Complex features two active underground mines and a processing facility, alongside notable exploration opportunities across the extensive 135-kilometer-long Thompson Nickel Belt. With a history exceeding 60 years, the region continues to serve as a key source of employment and economic activity in Northern Manitoba.

VBM's Commitment to Sustainable Mining

Vale Base Metals stands out as a leader in critical mineral provisions, including copper concentrates, high-purity nickel, and ethically sourced cobalt. VBM's vertically integrated operations span Canada (Ontario, Newfoundland and Labrador, Manitoba), Brazil, the UK, Japan, and Indonesia, encompassing a lineup of promising mining projects such as the Salobo Copper Complex in Brazil.

As VBM transitions into this new phase, the strategic review launched in January 2025 concludes, allowing the company to actively manage its portfolio while fostering a healthy, engaged environment for stakeholders in the Thompson Mine's future.

This ownership restructuring at the Thompson Mine Complex not only aligns with Vale's commitment to responsible and sustainable mining practices but also emphasizes the importance of community engagement as the company eyes new horizons for growth and operational excellence.
