Coway Hosts 37th Annual General Meeting

During this year's meeting, shareholders unanimously approved all agenda items proposed by the board. Key resolutions included the endorsement of the company's financial statements and consolidated reports, adjustments to the bylaws, the appointment of board directors, and the approval of maximum director remuneration. Notably, shareholders re-elected Junhyuk Bang, Jangwon Seo, and Soontae Kim as internal directors, while Simun Jeon joined as an external board member, alongside Catherine Heyjung Sonu and Heesun Chung, who will serve on the audit committee.

In a progressive move, Coway has announced the adoption of cumulative voting and electronic general meetings, reflecting its commitment to enhanced shareholder rights. These measures are designed to facilitate greater participation among shareholders and ensure transparency in governance. Furthermore, the company has updated the provisions regarding the record date for quarterly dividends, allowing it to be set after the dividend declaration date. However, proposals from shareholders aiming to have the audit committee comprised solely of external directors and to appoint an external director as board chair did not pass.
