Marathon Petroleum and MPLX Announce Major Divestiture of Refineries and Midstream Assets

Marathon Petroleum Corp and MPLX LP's Strategic Divestiture

In a significant shift within the energy sector, Marathon Petroleum Corporation (MPC) and MPLX LP have jointly announced their decision to divest two critical refining assets located in Minnesota and North Dakota. This strategic move, valued at approximately $4.2 billion, aims to maximize value creation and support the future growth of both companies.

The transaction encompasses the St. Paul Park refinery in Minnesota, boasting a crude oil processing capacity of 105 thousand barrels per day, and the Mandan refinery in North Dakota, which has a capacity of 72 thousand barrels per day. In addition to the refineries, the deal also includes relevant midstream assets that are currently operated by MPLX. Notably, MPC will secure around $3.45 billion from the sale of these refining assets, excluding inventory value, while MPLX is set to receive $750 million for the associated midstream properties.

Maryann Mannen, the CEO of MPC and MPLX, articulated the strategic vision behind this divestiture. “Ensuring the long-term competitive position of our portfolio is a strategic commitment,” she stated, emphasizing that the decision is rooted in advancing their priorities of maximizing value and adhering to strict return thresholds.

The funds raised from this divestiture are set to be reinvested primarily in the Gulf Coast region and to bolster MPLX's growth in vital areas such as the Permian and Marcellus basins. This strategic reinvestment indicates an acute focus on enhancing operational capabilities where both companies see significant growth potential.

The divestiture also highlights the increasing trend of consolidation and optimization within the energy sector, as companies look to streamline operations and focus on their core competencies. MPC's decision comes at a time when the refining industry is facing various challenges, including regulatory hurdles and market competition. By selling these refineries, MPC can maintain its status as one of the largest refining systems in the United States, with a total crude oil refining capacity of about 2.8 million barrels per day after the sale.

Furthermore, the midstream assets that are part of this deal include crucial infrastructure such as a crude oil pipeline, storage facilities, and three terminals, with the sale representing a notable 9x multiple on projected 2027 earnings before interest, taxes, depreciation, and amortization (EBITDA).

Expected to close by the end of 2026, the transaction is still subject to customary closing conditions, including regulatory approvals under the Hart-Scott-Rodino Antitrust Improvements Act. Both companies’ boards have unanimously approved the deal, marking a vital step in the restructuring of their operational focus.

Advisory support for this transaction has been provided by leading financial institutions. Goldman Sachs & Co. LLC advised MPC on financial matters, while Moelis & Company took charge of strategic consulting. Legal support for MPC was provided by Jones Day. Similarly, RBC Capital Markets served as financial advisor to MPLX, with Latham & Watkins LLP offering legal counsel to its conflicts committee.
