Pyxus International Reaches Crucial Agreement with Creditors for Financial Recovery

Pyxus International's Transaction Support Agreement: A Financial Restructuring Journey

In a pivotal move towards financial revitalization, Pyxus International, Inc. (OTCID: PYYX), recognized as a frontrunner in the agricultural value-added sector, has announced a comprehensive Transaction Support Agreement with a group of influential creditors. This agreement, which includes prominent firms such as Glendon Capital Management and Owl Creek Asset Management, aims to bolster the company’s capital structure and provide additional financial flexibility moving forward.

Overview of the Transaction Support Agreement

The essence of this agreement lies in its potential to not only significantly reduce outstanding debt but also to extend maturities and pave the way for long-term growth. Under the terms, Pyxus and its subsidiaries intend to initiate a series of exchange transactions. These will allow creditors holding existing secured debt to swap their current obligations for newly issued secured debt or equity, thereby converting a considerable portion of debt into equity.

Approximately $92 million is projected to be transformed into equity, with an additional $65 million payable from the anticipated proceeds of an equity offering. Furthermore, the agreement looks to extend the refinancing periods for the remaining $300 million of existing secured debt, which is crucial for the company's long-term sustainability.

Key Components of the Deal

Exchange Transactions

The proposed exchange transactions include several key offers:
  • - Eligible holders of Existing Notes will have the chance to exchange their existing obligations for shares of the company's common stock, valued significantly above market price, and new senior secured notes.
  • - For the Pyxus Term Loans, holders can exchange their loans for a mix of equity and newly issued secured notes, creating an incentive to realign their investments with the company’s future prospects.
  • - Additionally, Intabex Term Loans holders will find an attractive exchange option that includes cashback and new notes, enhancing their investment viability.

The success of these transactions hinges on receiving necessary consents from lenders and approval of amendments in credit agreements responsible for governing these loans—this reinforces the strategic path chosen by Pyxus to lighten its debt burden.

Equity Offering

Simultaneously, Pyxus is set to launch an equity offering, aiming to raise an estimated $85 million. The offering price is positioned at $2.50 per share, making it appealing for eligible holders who have engaged in the exchange transactions. This injection of capital is essential, as it will assist in funding cash considerations for those exchanging Intabex Term Loans while also covering transaction-related expenses.
