Nscale Acquires AIPCorp, Creating a Full-Stack AI Hyperscaler

Nscale Acquires American Intelligence & Power Corporation

In a significant move in the tech industry, Nscale announced its agreement to acquire American Intelligence & Power Corporation (AIPCorp), a strategic partnership sponsored by Fidelis New Energy and 8090 Industries. The acquisition marks a pivotal step in Nscale's mission to build a robust full-stack AI hyperscaler, capable of supporting immense data processing needs for businesses worldwide.

The Monarch Compute Campus

Central to this acquisition is the Monarch Compute Campus, located in West Virginia. This facility spans approximately 2,250 acres and is recognized as the first state-certified AI microgrid in the United States. With the potential to generate over 8 gigawatts of scalable energy, the Monarch Campus is set to become one of the largest AI factories globally. The integration of such massive energy resources is a crucial factor in meeting the burgeoning demand for advanced AI computing capabilities in various sectors.

The infrastructure includes access to a low-cost, long-term onsite microgrid, facilitating multi-gigawatt expansion over time. This attribute is particularly important as it removes a key barrier in the development of advanced AI computing, allowing organizations to scale operations efficiently as demand increases.

Future Prospects

Nscale plans to activate the initial phase of the Monarch Campus, which will provide 2 gigawatts of power, by the first half of 2028, with an ambitious target of reaching approximately 8 gigawatts by 2031. Josh Payne, CEO of Nscale, emphasized the importance of aligning infrastructure expansion with market demand, remarking, "Nscale is a global company, and the United States is the largest AI infrastructure market in the world. The demand for AI infrastructure must be met where it is most pressing. This acquisition consolidates our position in the U.S. and demonstrates our growth trajectory to serve clients globally."

Leadership and Expertise

To lead this ambitious project, Nscale Energy Power will be managed by noted energy executive Daniel Shapiro, alongside Bengt Jarlsjo as deputy energy director. The complete personnel of AIPCorp is set to join Nscale, bringing nearly a decade of valuable experience in AI infrastructure development and supporting the progression of the Monarch Compute Campus and related global operations.

Daniel Shapiro remarked, "The vision of AIPCorp has always been to create a vertically integrated energy and computing model, which this acquisition enables immediately. Coupled with Nscale's strong balance sheet, we now provide the high-growth AI market with an optimized and integrated neocloud platform designed for scalability."

Financial Aspects

Morgan Stanley & Co. LLC served as financial adviser to Nscale, with legal representations from Latham & Watkins. For AIPCorp, Greenhill, a subsidiary of Mizuho, acted as its exclusive financial adviser and Vinson & Elkins LLP provided legal advice to Fidelis New Energy.

About Nscale

Nscale is pioneering the development of a global cloud service provider tailored for AI infrastructure. Through vertically integrated AI solutions and a modular data center design based on fundamental principles in North America and Europe, Nscale aims to deliver a comprehensive computing foundation for enterprise-scale AI training, fine-tuning, and inference.

This acquisition is poised to propel Nscale further into the forefront of the AI infrastructure sector, ensuring they remain at the cutting edge of technology to meet the increasing demands of the market.
