MondeVita Expands Italian Luxury Portfolio with Underscore District Acquisition

MondeVita Strengthens Its Luxury Portfolio with Strategic Acquisition

In a significant move within the luxury fashion market, MondeVita has successfully acquired a majority stake in Underscore District, a renowned Milan-based brand accelerator. This strategic acquisition marks a crucial step in MondeVita's ambition to develop a new Italian luxury platform that integrates brand development, retail, and digital commerce, enhancing its existing manufacturing strengths.

A New Era for Italian Luxury

The acquisition, publicly announced on August 5, 2026, follows MondeVita's recent purchase of Raffaele Caruso S.p.A., a prestigious menswear manufacturer based in Soragna and established in 1964. Caruso’s rich legacy and operational capabilities provide a strong industrial foundation for MondeVita’s growing portfolio, having reported €34.2 million in revenues and employing 479 people in the previous year. The integration of Underscore District is intended to complement these manufacturing capabilities with robust brand development, merchandising prowess, and retail expertise.

Edoardo Di Luzio, who founded Underscore District in 2022, has spearheaded the creation of an integrated platform involving brand development, financial strategy, operational management, merchandising, and e-commerce. In just four years, the portfolio has generated sales exceeding €7 million across a wholesale network of over 150 retailers worldwide, all of which are now poised for continued growth under MondeVita’s guidance.

At the heart of this acquisition is Magliano, a fashion label recognized for its innovation and distinct aesthetic since its debut in Bologna in 2017. Magliano, which has graced the Milan Fashion Week schedule and earned prestigious awards, including the LVMH Karl Lagerfeld Prize, is set to enhance its international footprint with MondeVita's support. The collaboration aims to fortify Magliano’s operational and organizational capabilities, leveraging access to Caruso’s manufacturing base to further its reach.

Expanding Horizons

In addition to Magliano, the acquisition brings GR10K, a technical workwear label, and WOK Store, a unique multi-brand retail platform known for its curated selection, into the fold. WOK Store, which expanded its physical presence in Milan in 2024, is expected to evolve further, diversifying its business model while strengthening its connection to Milan’s dynamic creative community.

This acquisition is not limited to enhancing brand capabilities; it reflects a broader trend in the Italian fashion industry, where many independent brands are seeking partnership with larger firms to gain access to essential resources, infrastructure, and distribution networks. MondeVita emerges as a strategic player in this environment, encouraging growth while retaining the independence and unique identity of its brands.

MondeVita Chairman Hussam Otaibi articulated the vision of fostering Italy’s creative talent, stating, “We are building the platform that lets them grow at home, with the resources to compete globally.” This encapsulates the overarching goal of developing a comprehensive luxury ecosystem that combines exceptional craftsmanship with innovative brand approaches.

Technology-Driven Growth

An essential component of MondeVita's strategy is its technology division, Mondevo Tech, which operates an AI platform that employs a team of engineers and coding agents to drive efficiency and innovation across all businesses acquired. This proprietary technology is set to enhance various aspects of luxury operations, from design and production to distribution and customer engagement.

This strategic acquisition of Underscore District is anticipated to pave the way for additional investments in complementary segments, with a focus on mid-to-large scale businesses capable of elevating the Italian luxury landscape on a global scale. The future of MondeVita looks promising as it positions itself strategically within the marketplace, aiming to capitalize on the current phase of market dynamics.

Edoardo Di Luzio will retain his role as CEO of Underscore District and will also take on a strategic position within MondeVita, where he will work to foster synergies across the group's portfolio and identify future investment opportunities for sustained growth. The collaboration signifies a shared vision of blending established craftsmanship with contemporary creativity in the luxury sector, setting a solid foundation for future achievements.
