Persistent Systems Secures Major Stake in Nagarro



In a significant development within the tech industry, Persistent Systems, through its wholly-owned subsidiary Galaxy Germany Holding SE, has announced that it has successfully completed a public takeover bid for Nagarro SE. This acquisition has enabled Persistent to secure an impressive 94.04% of Nagarro’s outstanding shares, pushing far above the minimum acceptance threshold required for the transaction, which was set at 50% plus one share.

On October 6, 2026, the additional acceptance period for the takeover bid closed, highlighting a successful acceptance of shares. During this period, an additional 1,335,114 Nagarro shares were tendered. Coupled with the 7,568,145 shares acquired during the initial offer period, this totals 8,903,259 shares, representing approximately 71.94% of Nagarro's capital and voting rights. When added to the 22.10% stake already held by Persistent via a stock purchase agreement with Lantano Beteiligungen GmbH, Persistent has successfully claimed 94.04% of the total capital and voting rights of Nagarro.

Persistent is targeting the completion of this entire process by the end of the first quarter of 2027, with only a limited number of regulatory approvals remaining.
