Medix Expands Its Reach with Acquisition of Star To Asia in Taiwan

Medix Expands Market Presence through Strategic Acquisition

In a significant move aimed at enhancing its operations and reach across Asia, Medix, headquartered in Chiyoda, Tokyo, announced the acquisition of Star To Asia Co., Ltd. (STA) in a resolution made during its board meeting on September 4, 2025. This strategic acquisition positions Medix not just as a player in the digital marketing space but also as a robust entity catering to companies looking to penetrate the Taiwanese and broader Asian markets.

Rationale Behind the Acquisition

Medix is committed to the mission of achieving and solidifying its customers' sales success, driving its growth strategy under the concept known as Beyond Advertising. To remain competitive and to diversify its service offerings, Medix has eyed growth beyond its current internet advertising, website development, and marketing digital transformation services. The integration of STA, which already possesses extensive experience in supporting Japanese companies entering the Taiwanese market, provides a new avenue for Medix to boost its market capabilities.

STA specializes in a spectrum of services tailored for businesses aiming to establish a foothold in Taiwan. This includes creating business plans, conducting local market research, and orchestrating advertising and promotional strategies. Additionally, STA offers support in KOL and social media marketing, in-store promotions, e-commerce, call center operations, logistics, trade applications, and payment system development. Their one-stop service model supports all facets necessary for running e-commerce and product sales operations, thereby simplifying the process for businesses venturing into these markets.

Furthermore, STA's subsidiaries—including Medix Marketing Taiwan Co., Ltd. (MMT), Nittai International Co., Ltd. (NI), and Start Asia Japan Co., Ltd. (STAJ)—add depth to this acquisition. Each subsidiary contributes specific capabilities, from digital marketing in Taiwan to wholesale sales support in the Asian market. By unifying these services, Medix will offer comprehensive marketing and sales support, empowering client companies to boost sales and enhance brand value in overseas markets.

With STA now a part of Medix, the anticipated synergies are expected to significantly amplify Medix's sales through foreign market expansion, leveraging existing relationships to extend their reach further into Southeast Asia, thus catalyzing overall business growth.

Acquisition Method and Consideration

The acquisition process will utilize an earn-out model, facilitating the purchase of shares from STA’s existing shareholders. A total of 4,026 shares, corresponding to 76.91% of STA’s current equity, will be acquired for 144 million NTD (approximately 699 million yen). The agreements also stipulate that should STA’s gross profit reach a predetermined benchmark, further payments would be made, enhancing both parties' interests and reducing risks associated with the acquisition.

Overview of Subsidiaries

STA’s robust structure includes MMT, which focuses on digital marketing, NI, which caters to wholesale support for Japanese exporters in Taiwan, and STAJ, facilitating similar activities within the Asian market. This multi-faceted operational stream will further empower Medix's strategy of achieving a cohesive approach towards marketing in Taiwan and the rest of Asia.

Future Outlook

As a result of this acquisition, STA and its subsidiaries are set to become consolidated subsidiaries of Medix. This inclusion into Medix’s financial framework is expected to occur by the third quarter of the fiscal year ending March 2026. Ongoing assessments are being conducted to determine the precise effects this acquisition will have on consolidated earnings, with timely updates to be communicated as developments occur.

The integration process will also involve aligning revenue recognition policies across Medix and STA, ensuring a unified approach in operational accounting.
