Overview
Berger Montague, a prominent national plaintiffs' law firm, has initiated a class action lawsuit against Skechers U.S.A., Inc. (previously trading on the NYSE under the ticker SKX). This move is aimed at protecting investors who either sold Skechers securities or received the $63 per share during a merger between April 24, 2025, and September 12, 2025. The deadline for potential lead plaintiffs to come forward is December 21, 2026.
The Allegations
The lawsuit claims that senior executives at Skechers, including founder and CEO Robert Greenberg and President Michael Greenberg, collaborated with 3G Capital and financial advisors from Greenhill & Co. to manipulate the buyout process. According to the complaint, they allegedly orchestrated the acquisition of unaffiliated shareholders at a significantly reduced price of $63 per share as part of a $9.4 billion privatisation strategy.
Evidence suggests that prior to the buyout, Skechers management had reassessed their financial outlook, downgrading projections several times. On April 24, 2025, amid evolving global trade policies, Skechers withdrew its guidance for the year, hinting that tariffs could jeopardise the business. This led to a rapid downward revision of financial forecasts, casting doubts on the fairness of the buyout price. The lawsuit contends that crucial information was obscured from shareholders in the accompanying Information Statement, which failed to disclose the prior agreements between the Greenbergs and 3G Capital.
Context of the Buyout
Under the terms of the arrangement, the Greenbergs opted for a mixed consideration that totaled an effective value of $86 per share—$57 in cash plus an equity unit—allowing them to secure over $1 billion while also retaining control of more than 18 million shares in the new private entity. The complaint posits that investors sold their shares or took the merger consideration when the market price was artificially depressed, undermining their financial interests.
