A. O. Smith's Strategic Shift: CPE to Acquire Majority Stake in China Business

A. O. Smith and CPE: A Strategic Shift

A. O. Smith Corporation, a reputable global water technology company, has made a significant announcement regarding its business operations in China. The company disclosed that it has entered into an agreement with the alternative asset manager CPE, under which CPE will acquire an 81% stake in A. O. Smith's China division. This agreement marks a pivotal moment for A. O. Smith, allowing the company to retain a minority stake of 19% while also securing a long-term brand licensing arrangement.

This transition aims to propel A. O. Smith's growth in the Chinese market, a region where it has successfully developed a premium brand over the past three decades. The overall valuation of this business unit stands at approximately $400 million on a cash-free and debt-free basis. With the incorporation of ongoing licensing royalties, the total value is expected to surpass $500 million. Furthermore, this deal enables A. O. Smith to repatriate about $80 million in cash that had previously been held in China, underscoring the financial benefits of this strategic transaction.

A comprehensive evaluation of strategic alternatives for its China business began in July 2025, leading A. O. Smith's Board of Directors to conclude that partnering with CPE was the best route forward. This agreement not only allows for continued participation in China's emerging market but also allows A. O. Smith to concentrate more on core business areas that promise higher returns.

Chairman and CEO, Steve Shafer, expressed confidence in CPE's ability to drive growth in the China segment while acknowledging the efforts of A. O. Smith’s local team. “For more than three decades, A. O. Smith has built a leading premium brand in China, supported by an extensive distribution network, innovative products, and a talented local workforce,” he stated. This aspect highlights A. O. Smith’s commitment to ensuring the brand remains robust under CPE’s stewardship.

In their investment approach, CPE seeks to be a long-term partner, emphasizing customer relationships, product improvements, and service quality. Liuwei Qin, CPE's Managing Director, shared his enthusiasm regarding the investment, highlighting A. O. Smith's established brand presence in China and the potential for further growth.

The agreement involves CPE acquiring a stake in A. O. Smith (China) Investment Co., Ltd., which is the overarching company for A. O. Smith's operations in China, and A. O. Smith will continue to receive royalties through its brand licensing agreement. This structure is viewed as conducive to enhancing A. O. Smith’s operational flexibility while maximizing the brand's local market presence.
