Yellow Wood Partners to Acquire Nestlé's $1 Billion Health Platform Featuring Popular Supplement Brands

Yellow Wood Partners Acquires Nestlé's Health Platform

In a significant development within the consumer health industry, Yellow Wood Partners, a specialized private equity firm, has confirmed its agreement to purchase Nestlé's Holistic Health platform for a staggering $1 billion. This acquisition encompasses a robust array of Vitamin, Mineral, and Supplement (VMS) brands, notably including Nature's Bounty, which stands as the second-largest VMS brand in the United States.

Nature’s Bounty is not just a household name; it is recognized for promoting women's health and wellness solutions amongst a wide consumer base. The brand boasts a remarkable presence, being utilized in over 20% of American households and holding a legacy of trust for over five decades.

Dana Schmaltz, partner at Yellow Wood, expressed optimism regarding the acquisition, stating, "Holistic Health encompasses a portfolio rich in trusted brands, ensuring substantial potential for growth thanks to strong relationships with retailers." The firm attributes its confidence to Holistic Health's diverse brand portfolio, which includes other significant players like Nuun, known for its hydration solutions, Osteo Bi-Flex, and Gard. These brands cater to various health concerns, ranging from hydration to gut health and immunity enhancement.

The acquisition aligns with Yellow Wood's strategic focus on brands that resonate with consumer needs and market trends. By operating Holistic Health as an independent entity, the firm aims to leverage the strengths of each brand to drive innovation and bolster market competitiveness.

Tad Yanagi, another partner at Yellow Wood, reiterated the firm's belief in its operational model, known as the Yellow Wood Consumer Operating DNA. He stated, "Our strategy has proven effective with other prominent carveouts like Chapstick and Suave. We see vast potential in accelerating the growth of Holistic Health's brands, especially with the rising acceptance of VMS products among consumers craving targeted health solutions." The anticipated growth trajectory reflects the ongoing increase in consumer focus on health and well-being, confirming the relevance of such acquisitions in today's market landscape.

This acquisition marks Yellow Wood's sixth significant carveout from top-tier global consumer entities, including notable names like Bayer and Unilever. With approval processes ongoing, the transaction is set to finalize in the first half of 2027.

In advisory capacities, Perella Weinberg Partners and Canaccord Genuity guided Yellow Wood through the deal, while Goodwin Procter provided legal advisory services.
