Basanite Inc. (OTCQB: BASA) has taken a significant step in boosting its presence in the natural resource industry by signing a term sheet with Eastman Minerals and the Somali American Minerals Company (SAMCO). This partnership aims to invest $2 million into the Goroya Cawl Processing Plant, set in the lucrative gold mining region of Somaliland.
The agreement is structured such that Basanite will contribute the full $2 million to develop Plant 1, acquiring a 40% ownership stake. On the other hand, Eastman Minerals will retain majority control with 60%, highlighting a mutual understanding of the project's operational dynamics. With operations subject to standard due diligence processes, the completion of this investment is projected within the next 30 days. However, the parties involved acknowledge the unpredictable nature of financing and transaction closures.
In line with progress, the deal has also seen SAMCO advance a $400,000 bridge deposit on behalf of Basanite, indicating confident movement towards the significant investment. It is anticipated that the remaining $1.6 million will be structured through formal agreements ahead of the completion deadline.
The partnership with Eastman Minerals extends beyond mere financial investment; it lays the groundwork for a long-term strategic relationship. As an added incentive, Eastman has granted Basanite a perpetual right of first refusal for future gold processing and mineral development projects they undertake.
