Neurimmune Makes Strategic Move with Royalty Pharma
In a significant financial transaction, Neurimmune Holdings AG has entered into a deal with Royalty Pharma, selling part of its royalty interest in the promising drug cliramitug. This strategic decision is expected to yield up to $425 million, with an upfront payment of $125 million upon closing the deal. The proceeds from this transaction will support Neurimmune's ongoing research and development (R&D) efforts without diluting the company's equity.
Roger M. Nitsch, the President and CEO of Neurimmune, emphasizes the company’s commitment to securing non-dilutive income through licensing agreements, in conjunction with partial royalty financing. This approach not only reflects Neurimmune's financial acumen but also allows it to maintain a substantial stake in its innovative drug, cliramitug, while funding further development of its R&D pipeline.
Cliramitug, previously known as NI006 or ALXN2220, is an investigational human monoclonal antibody that Neurimmune discovered. This drug aims to deplete amyloid deposits in the hearts of patients suffering from amyloid transthyretin cardiomyopathy (ATTR-CM), a condition that poses significant treatment challenges today. The need for effective therapies is becoming increasingly urgent as the prevalence of ATTR-CM is on the rise, and cliramitug aims to meet this critical demand.
Collaboration with Leading Pharma
Neurimmune has previously partnered with Alexion and AstraZeneca Rare Disease, which underscores the drug's potential and the company’s commitment to its advancement. As part of a comprehensive collaboration agreement established in 2022, Alexion is set to manage the further clinical development, manufacturing, and commercialization of cliramitug. Their ongoing efforts include the Phase 3 trial, DepleTTR-CM, which is currently evaluating the safety and efficacy of cliramitug in adults diagnosed with ATTR-CM.

Financial Terms of the Agreement
The contract specifies that Royalty Pharma will compensate Neurimmune with a structure that includes an upfront cash provision of $125 million, followed by additional payments potentially reaching $300 million. This latter amount is contingent on achieving set clinical and regulatory milestones that Neurimmune and its partners will focus on in the upcoming phases of development. The agreement also includes a royalty rate of 3% to 4% on the global net sales of cliramitug, ensuring that Neurimmune retains a financial interest in the drug's future success.
