Systemair Prepares for Annual General Meeting with Key Board Proposals

Systemair's Annual General Meeting Preparations

Systemair AB, a leader in the ventilation industry, is gearing up for its Annual General Meeting (AGM) scheduled for August 28, 2025. The Nomination Committee, led by Chairman Magnus Tell from Alecta, today outlined their recommendations for the election of board members, signaling important changes in the company's governance.

The Nomination Committee has put forth a proposal to re-elect several longstanding board members including Gerald Engström, who has served as chairman since 2015, alongside Patrik Nolåker, Gunilla Spongh, and Niklas Engström. Furthermore, the committee aims to introduce new faces to the board—Peter Fenkl and Åsa Söderström Winberg—while also noting that Carina Andersson will not be seeking re-election. This will bring the total number of board members to six.

Magnus Tell emphasized the significance of Gerald Engström’s leadership through a decade marked by consistent growth for Systemair. He expressed gratitude for Engström's contributions and highlighted the confidence in Nolåker's potential to succeed him as chairman.

Engström, reflecting on his time as chairman, described his experience as a blend of challenges and honor, noting Systemair's evolution into Europe's premier supplier of ventilation solutions. Engström, a founder of Systemair, has been pivotal since its inception in 1974 and anticipates continuing his contributions to the board.

New Board Members

Peter Fenkl, born in 1961, brings a wealth of knowledge from his extensive career in the ventilation sector, which includes serving as CEO of ZIEHL-ABEGG AG and roles at ABB. His background, which initiated in product development and sales at Heraeus Instruments GmbH, aligns well with Systemair's objectives. Fenkl has also been actively involved with the European Ventilation Industry Association (EVIA), underscoring his commitment to advancing the industry.

Åsa Söderström Winberg, born in 1957, holds expertise in economics and business administration. Her career encompasses prestigious roles such as CEO of SWECO Theorells AB and Ballast Väst AB. Winberg’s board experience spans various public and private companies, currently holding significant positions with Skanska AB and Currentum AB, alongside a role with the Swedish Armed Forces' Audit Committee.

Expectations for Systemair

As the meeting approaches, Systemair anticipates that these board changes will prop up its strategic direction and further consolidate its market position. The company's revenue reached SEK 12.3 billion in the fiscal year 2024/25, with operations across 51 countries. With approximately 6,700 employees, Systemair prides itself on its history of profitability since its founding. The aimed growth rate over the past decade stands at an impressive average of 7.9 percent, highlighting the company's commitment to sustainability through energy-efficient ventilation products, which also help minimize carbon emissions.

Systemair’s products, marketed under the Systemair, Frico, Fantech, and Menerga brands, play a critical role in enhancing indoor climates, catering to global and specific regional markets.

Looking at the future, the Nomination Committee, alongside the entire Systemair team, aims to bolster its strategic approach and sustain its growth trajectory through sound governance and dynamic leadership. As Systemair prepares for the AGM, stakeholders and employees alike eagerly await the outcomes of these proposed changes, which promise to reshape the company's governance positively.
