China SXT Pharmaceuticals, Inc. Implements Significant Share Consolidation Strategy

China SXT Pharmaceuticals, Inc. Announces Share Consolidation

China SXT Pharmaceuticals, Inc. (NASDAQ: SXTC) has announced a strategic move aimed at optimizing its stock structure by implementing a share consolidation for its Class A ordinary shares, set to take effect on October 26, 2026. This consolidation will be executed at a ratio of 1-for-100, meaning that for every 100 shares held by shareholders, they will receive one new share in return.

Background on the Consolidation

The decision for this major adjustment follows an assessment of the company’s current capital structure, with an aim to enhance shareholder value and improve the trading fluency of its stock. Currently, there are approximately 68,677,500 ordinary shares outstanding, which will be dramatically reduced post-consolidation. After the share consolidation takes effect, it is anticipated that only about 686,775 Class A shares will continue to circulate on the market alongside unaltered Class B shares.

This consolidation is specifically targeted at Class A shares and will not affect Class B shares in any way. The total issuance of shares remains under the company’s authorization, which allows an unlimited number of Class A and Class B shares to be in circulation.

Impact on Shareholders

Shareholders holding shares through intermediaries, such as banks or brokers, will have their holdings adjusted automatically to reflect the consolidation. Investors are encouraged to consult with their financial intermediaries for specific details regarding their adjusted shareholdings and to ensure that their accounts reflect the changes correctly. This process is designed to facilitate a smooth transition into the new structure without requiring immediate action from shareholders.

As part of the consolidation process, all outstanding options, warrants, and other rights to purchase Class A ordinary shares will also be adjusted proportionately, further aligning the equity interests of shareholders in the modified share structure.

Compliance and Communication

The shares will continue to trade under the Nasdaq symbol
