Veralto Acquires Cleanwater1 to Enhance Water Treatment Solutions and Drive Growth

Veralto's Strategic Acquisition of Cleanwater1

In a significant move within the water treatment sector, Veralto, a global leader in water and product quality solutions, has signed a definitive agreement to acquire Cleanwater1 for approximately $465 million. This acquisition marks a strategic effort by Veralto to bolster its leadership in water disinfection and contaminant removal technologies. With the deal expected to finalize in the fourth quarter of 2026, this acquisition is anticipated to yield a host of benefits for Veralto, including expanded market presence and enhanced product offerings.

Cleanwater1 is renowned for its innovative solutions in on-site hypochlorite disinfection, solids management, and odor filtration technologies, boasting an impressive installed base of around 25,000 units across various applications including municipal drinking water and wastewater systems. Veralto's CEO, Jennifer L. Honeycutt, emphasized that Cleanwater1's exceptional water treatment technologies and application expertise will significantly strengthen Veralto's Water Quality division. "This acquisition will enable us to expand into faster-growing water treatment applications while presenting ample opportunities for building recurring revenue streams and deeper customer relationships," she noted.

The combined capabilities of Veralto and Cleanwater1 are expected to accelerate growth by leveraging the synergies with Trojan Technologies, a sector leader in ultraviolet water treatment solutions that Veralto also owns. With Trojan's established customer base and the application of Veralto's management strategies, there is immense potential to enhance Cleanwater1's market footprint and accelerate its growth trajectory.

From a financial perspective, Cleanwater1's valuation at the agreed purchase price suggests a transaction that aligns strategically with Veralto's growth goals. With the anticipated net purchase price adjusting for tax benefits at about $452 million, this acquisition represents roughly 17 times Cleanwater1's adjusted EBITDA from the previous twelve months. Analysts expect that Cleanwater1 will maintain a robust growth rate, projecting continued sales increases in the low double digits over the coming years.

Both companies share a commitment to delivering top-tier water quality solutions. David Stanton, CEO of Cleanwater1, expressed enthusiasm about the merger, highlighting the opportunities that such a union presents. "Joining Veralto opens incredible avenues for Cleanwater1 to further our growth while better serving our customers' needs," he stated.

In summary, the acquisition of Cleanwater1 by Veralto is not just a financial investment but a strategic move poised to deliver enhanced value to customers and stakeholders alike. By combining forces, these two industry leaders aim to tackle some of the pressing challenges in water quality and environmental sustainability, aligning perfectly with Veralto's core mission of safeguarding the world's vital resources. This acquisition is a significant milestone in Veralto's journey and sets the stage for future innovations in water treatment technology.
