FG Merger II Corp. Concludes Redemption Window for Boxabl Merger


FG Merger II Corp. (NASDAQ: FGMC) recently announced the closure of its redemption window concerning its business combination with BOXABL Inc. The deadline for shareholders to exercise their redemption rights was set for June 5, 2026, at 5:00 PM ET.

In total, 6,615,950 shares of FGMC common stock were submitted for redemption, resulting in roughly $68.8 million being withdrawn from FGMC's trust account at a redemption price of $10.40 per share. Following these transactions, FGMC will have about 1,384,050 public shares outstanding, with approximately $14 million remaining in its trust account.

Stockholders who wish to retract their redemption requests have until the closing of the business combination to do so. To reverse a redemption request, shareholders should get in touch with FGMC’s transfer agent at Continental Stock Transfer & Trust Company, located at One State Street Plaza, 30th Floor, New York, NY.

A special meeting for FGMC's stockholders is planned for June 9, 2026. This meeting will occur virtually, and all investors are encouraged to participate. The primary agenda is to discuss the proposed merger with BOXABL, a frontrunner in innovative housing solutions. FG Merger II Corp. is urging all stockholders to cast their votes in favor of the proposals outlined by the Board of Directors.

BOXABL is known for changing the landscape of housing with its modular building systems that aim to provide affordable homes rapidly. Founded in 2017, it has garnered significant global attention for its mission to tackle housing shortages. The company’s premier offering, the Casita, is a 361-square-foot studio designed to be set up on-site within an hour, complete with a kitchen, bathroom, and essential utilities. Furthermore, BOXABL has introduced the Baby Box, a more compact unit at 120 square feet compliant with RV codes, which can be deployed without extensive foundation work.

POST-MERGER:
