Radiant Logistics Expands Its Footprint with Acquisition of TCB Transportation

Radiant Logistics Acquires TCB Transportation

Renton, Washington – December 3, 2024 – Radiant Logistics, Inc. (NYSE American: RLGT), a prominent technology-driven provider of global transportation and added-value logistics services, has announced its acquisition of TCB Transportation Associates, LLC, commonly known as TCB Transportation. This company is based in St. Louis, Missouri and is renowned for its intermodal marketing expertise, particularly in handling 40-foot and 53-foot containers across North America.

The acquisition was made through Radiant's wholly-owned subsidiary, Radiant Road and Rail, Inc., and follows a structured transaction similar to Radiant's previous acquisitions. A part of the purchase price is expected to be contingent on the performance of TCB's operations in the coming years.

Founded in 1999, TCB Transportation prides itself on being a 'one-stop shop' for its clients. The firm specializes in providing comprehensive door-to-door services by leveraging strategic relationships with steamship lines, Class I railroads, and a vast drayage network. TCB holds a notable reputation as one of the leading providers for 40-foot containers, catering to various sectors, including forestry products, food and beverage, metals and mining, and chemicals. After the acquisition, TCB will continue its operations under the leadership of Jerry Kausch, Jr., the company's founder, and is set to transition to operating under the Radiant brand by 2025. Post-acquisition, Kausch will report to Christopher Brach, the Senior Vice President and General Manager of Radiant Road and Rail, Inc.

In a statement, Jerry Kausch, Jr. expressed his enthusiasm for the new partnership, stating, "Throughout our years of devoted service, our customers have always been our top priority. We sought a long-term partner who shares our dedication to customer service and a vision for advancing our business, while also fostering opportunities for growth for our employees. We found that partner in Radiant, and I am looking forward to combining our strengths with the expansive capabilities of the Radiant network to deliver more value to our customers."

Radiant Logistics' Founder and CEO, Bohn Crain, also commented on the acquisition, stating, "We are thrilled to welcome Jerry, Kent Fensom, Dan Byington and the entire TCB team into our family. We have been searching for the right opportunity to boost our bi-modal brokerage platform, and our collaboration with TCB presents tremendous potential to enhance support for TCB's client base through our advanced technology and broaden their access to our over-the-road brokerage and international forwarding services."
