IPA Pushes for Nationwide Framework on Registered Offerings



The Institute for Portfolio Alternatives (IPA) has recently taken a significant step to enhance the landscape of registered offerings by submitting a focused comment letter to the Securities and Exchange Commission (SEC). This letter advocates for the adoption of the IPA’s Registered Offering Reform proposal, which intends to streamline the process for all SEC-registered public offerings across the nation. A Burdensome Process



Currently, the landscape for registered offerings is hindered by a complicated system that involves a second layer of state registration on top of federal SEC requirements. This duplication not only makes launching investments more challenging but also inhibits broader access to these opportunities for individual investors. IPA’s President and CEO, Anya Coverman, argues that a singular federal registration process would allow public offerings to efficiently engage investors without the convoluted extra steps imposed by state regulations.

"A public offering should be able to reach investors through a single federal registration process," Coverman stated. "The market needs one front door, not fifty-three."

When the existing national framework for registered offerings was put in place in 1996, the alternative investment market was still at a formative stage, with unlisted real estate investment trusts (REITs) making up a minor segment of the investment landscape. However, over nearly three decades, this sector has expanded significantly. Individual investors now rely on these offerings as vital sources for capital, wealth-building, and retirement savings. Yet, crucially, such offerings still exist outside of the more comprehensive framework that applies to many other nationally distributed investments.

The Impact of Current Processes



The challenges imposed by state-level reviews disproportionately affect unlisted REITs and business development companies (BDCs). These products provide full disclosures and ongoing public reports to investors, yet when it comes time to distribute these offerings nationwide, they encounter a complex web of state regulations. As a result, the costs, uncertainties, and delays associated with state reviews can deter companies from opting for this route. Instead, many choose to pursue private placements that bypass this extensive regulatory scrutiny, but often at the expense of individual investor access.

As Coverman poignantly puts it, "When the registered path becomes too costly, slow, or unpredictable, issuers do not necessarily abandon the strategy; they can take it private. That leaves many individual investors without access to the investment, or the disclosure and reporting that come with public registration."
