Adani Airports to Secure $1 Billion in Primary Equity from Global Investors

Adani Airport Holdings Limited (AAHL), a subsidiary of Adani Enterprises Limited (AEL), is poised to raise approximately ₹9.825 crore (equivalent to $1 billion) from a consortium of distinguished national and international investors. This transaction sets a valuation of AAHL at around $18 billion prior to the investment, establishing a significant benchmark for institutional valuation in India's airport infrastructure sector.

The investor consortium includes prominent names such as Alpha Wave Global, Premji Invest, Temasek, and managed funds by BlackRock. Upon completion of the planned three tranches, these investors will collectively hold approximately 5.54% of AAHL, solidifying a long-term strategic partnership.

The allocated funds will be directed towards the modernization of airport facilities, aimed at expanding the infrastructure to cater to an anticipated annual passenger traffic of 200 million. A primary focus will be on the integrated development of Adani Airport City, which envisions around 22 million square feet of mixed-use development in its first phase. Additionally, the investment will bolster the growth of ground handling services and non-aeronautical business activities within AAHL.

This significant move comes on the heels of AEL's successful private placement of shares, amounting to ₹15,000 crore, marking the largest Qualified Institutional Placement (QIP) undertaken by a non-financial entity in India. Collectively, these transactions underscore the ongoing access of the Adani portfolio to substantial sources of long-term institutional capital on both national and global levels.

Jeet Adani, the non-executive director of AAHL, expressed pride in having such prestigious and forward-thinking investors on board. He noted, "The aviation sector in India is a crucial driver of the country’s GDP. Every expansion in air connectivity promotes trade, tourism, employment, and regional development far beyond the airport gates. With the support of these partners, we will continue investing to anticipate that growth, enhancing our infrastructure, urban developments, and non-aeronautical businesses to construct one of the world’s leading integrated airport platforms."

Arun Bansal, CEO of AAHL, emphasized the ambition to develop AAHL into the world’s largest airport platform. He highlighted the exponential growth opportunities across India due to rising consumer purchasing power and the dynamism of urban development projects as potent economic catalysts in the country’s major urban centers.

The principal advisors engaged in this transaction include Cyril Amarchand Mangaldas, AZB & Partners, JSA Advocates and Solicitors, TTA Advocates and Solicitors, as well as financial advisors such as Jefferies India Private Limited, SBI Capital Markets Limited, and Ernst & Young LLP. Furthermore, the deal is contingent on the customary precedents, including the requisite approvals being obtained.

This capital influx is expected to greatly enhance AAHL's capabilities, aligning with the increasing demands of India's burgeoning aviation market. As passenger traffic continues to rise, the strategic investments will ensure that AAHL not only meets but exceeds future aviation service standards, thus reinforcing its position as a central player in India's infrastructure landscape.
