MHP Completes Acquisition of Grupo UVESA



In a significant milestone for the food industry, MHP, a prominent international food and agri company, has successfully concluded the acquisition of over 92% of Grupo UVESA's share capital, a leading vertically integrated producer in poultry and pork in Spain. The completion of this transaction marks a strategic move for MHP as it enhances its operational capabilities and expands its influence in the European market.

The deal was finalized following the completion of the accession period to the Share Purchase Agreement (SPA) signed in March 2025. This included obtaining necessary regulatory approvals from several jurisdictions, including Ukraine, Spain, Saudi Arabia, Serbia, Montenegro, and Kosovo, as well as receiving merger control and foreign subsidies approval from the European Commission. With these clearances secured, MHP has now taken control of Grupo UVESA's core processes and operational activities.

Dr. John Rich, Executive Chairman of MHP’s Board of Directors, expressed enthusiasm as the company transitions into the integration phase. The integration will prioritize operational alignment and knowledge exchange while identifying investment opportunities aimed at efficiency and product innovation. MHP and Grupo UVESA will also work together to strengthen export capabilities, targeting both European and Middle Eastern markets for expansion. Antonio Sánchez, President of UVESA, highlighted the transformative potential of this partnership, noting that MHP’s experience in operational innovation will significantly support UVESA’s future growth.

In terms of financials, the transaction was settled in cash at close, with a fixed purchase price of EUR 225 per share, alongside a contingent consideration that may reach up to EUR 21.43 per share, guaranteed by a first-demand bank. This solidifies MHP's investment in a sector with a thriving demand for quality food products.
