Modine Rebrands as Modexus Solutions

In a significant corporate transition, Modine (NYSE: MOD), a prominent global entity in thermal management technology, has revealed its new direction as Modexus Solutions. This change is set to take place following the spinoff of its Performance Technologies business and a strategic merger with Gentherm, a notable player in the sector.

The name Modexus Solutions is designed to reflect the company’s evolution and its ambition to act as a diversified thermal management solutions provider. It aims to cater to high-growth segments such as data center cooling, commercial HVAC, and refrigeration. As the name change moves forward, it will be presented to the shareholders for their approval, marking a pivotal moment in the company's history.

Neil D. Brinker, President and CEO of Modine, emphasized, "Modexus Solutions captures who we are—a company that combines deep thermal management expertise with the innovation and agility required to help customers tackle increasingly intricate challenges." He further elaborated that this renaming also signifies a commitment to adapting their products to fit the specific needs of their clientele, striving for systems that enhance performance while minimizing resource usage.

The recent transition was met with overwhelming support from Gentherm shareholders during a special meeting held on September 10, 2026. It's projected that the corporate merger will culminate on October 1, 2026, pending the fulfillment of standard closing conditions. In this merger, Modexus Solutions will continue to be under the leadership of Brinker along with Michael (Mick) Lucareli as CEO and CFO, alongside the existing Board of Directors.

Brinker expressed gratitude towards both the Gentherm team for their accomplishments leading to this merger and the Performance Technologies employees for their steadfast commitment. He stated, "We believe this transaction will create two stronger companies, each better positioned to serve its end markets, accelerate growth, and drive long-term value for shareholders, customers, and employees."

Following the conclusion of the transaction, the company plans to hold a special meeting for shareholders to vote on the proposed name change within three months. More details regarding this meeting will be disclosed later.
