SEI Completes First Stage of Strategic Investment in Stratos Wealth Holdings



On December 3, 2025, SEI® (NASDAQ: SEIC) announced the successful conclusion of the initial stage regarding its strategic investment in Stratos Wealth Holdings, a company dedicated to aiding financial advisors across various business models. The newly created entity, SEI-Eclipse Holding Company, LLC, acquired the U.S. operations of Stratos for approximately $441 million, representing an estimated 81% of the total deal value.

Founder and CEO Jeff Concepcion will continue to lead the Stratos business, which is set to function under its existing brand while becoming an affiliated enterprise of SEI. The client service model used by Stratos, along with its custodial relationships, will remain intact, while SEI’s capabilities in technology, custodial services, operations, and asset management are expected to augment Stratos' current offerings.

According to SEI's CEO Ryan Hicke, "There are three core growth opportunities in wealth management advice, asset management, and administration. We've built world-class administration and asset management platforms that enable the more effective delivery and execution of advice, and Stratos further enhances our ecosystem with an advice platform that respects advisor independence and capitalizes on trends in fee-based wealth management."

The partnership aims to not only strengthen SEI and Stratos' combined offering but also provide vital resources to facilitate growth across their respective client bases. Hicke emphasized the potential for sustainable growth through collaboration across financial advice, asset management, and administration services.

In a separate statement, Concepcion remarked, "Our success reflects our commitment to providing the flexibility, personalized service, robust solutions, and independence that advisors need to achieve their growth objectives. The breadth and strength of SEI's capabilities, including alternative investments and OCIO services, will enhance our ability to deliver on that commitment while scaling our own operations."

Established in Beachwood, OH, Stratos boasts a national network comprising over 350 seasoned financial advisors and planning practitioners across 29 states. SEI intends to invest a total cash consideration of around $544 million for 57.5% equity in SEI-Eclipse Holding Company. Notably, legacy equity holders of Stratos will continue to hold 42.5%, with potential provisions that could allow SEI to secure complete ownership in the future.

The second stage of this investment, which involves acquiring the Mexico-based NSC business, is anticipated to close in 2026, pending regulatory approvals and other customary conditions. Goldman Sachs & Co. LLC provided financial advisory for Stratos, while Alston & Bird LLP acted as legal counsel. SEI’s financial advisory was supported by Wells Fargo, with legal services from Holland & Knight.
