Borr Drilling Limited Finalizes Major Acquisition of Five Rigs Through Joint Venture Partnership

Borr Drilling Limited, a prominent player in the offshore drilling sector, has announced a significant expansion of its fleet through a strategic acquisition. The company has finalized the purchase of five premium jack-up rigs from Fontis Finance Ltd., an acquisition carried out via its newly formed joint venture, BC Ventures Limited. This joint venture is a 50/50 partnership with a long-standing collaborator in Mexico, showcasing Borr Drilling’s commitment to enhancing its operational footprint in key energy markets.

The total acquisition cost for these rig assets is approximately $287 million. The deal includes two innovative Friede Goldman JU-2000E design rigs, named Oberon and Titania FE, alongside three robust LeTourneau Super 116-C design rigs, known as Courageous, Defender, and Intrepid. These rigs are currently stationed in Mexico, a region known for its established shallow-water oil and gas production capabilities.

To finance this substantial acquisition, BC Ventures has utilized a combination of financial strategies. This includes a noteworthy $237 million in non-recourse seller’s credit, alongside a $25 million cash contribution from both Borr Drilling and its local partner. Importantly, the seller’s credit is backed by a first priority lien on all five purchased jack-up rigs, maturing in January 2029, indicating a well-structured financial framework for the acquisition.

This purchase is pivotal as it increases Borr Drilling’s owned and jointly-owned fleet to 34 rigs, allowing the company to capitalize on the growing demand for reliable energy sources both regionally and internationally. The acquisition not only fortifies Borr Drilling’s operational capabilities but also enhances its competitive edge in the dynamic energy sector.

As energy markets continue to evolve, the demand for secure, dependable, and diversified energy sources has seen a marked increase. The addition of these five high-specification jack-up rigs will enable Borr Drilling to better cater to this growing market need, as the company aims to solidify its presence in the offshore drilling space.

Founded in Bermuda in 2016, Borr Drilling Limited has established itself as a formidable international drilling contractor. The company has been listed on the New York Stock Exchange since July 2019, and more recently on the Euronext Oslo Børs under the ticker ‘BORR’. Borr Drilling specializes in operating modern jack-up rigs equipped with high specifications, focusing on the shallow-water segment of the offshore oil and gas market worldwide.

This acquisition marks a crucial step in Borr Drilling’s strategy to enhance its asset base in one of the highest-demand areas for energy production. Looking ahead, the company is optimistic about the opportunities this acquisition creates, not only for increased operational capacity but also for substantial revenue growth as it meets the energy needs of various markets.

In summary, Borr Drilling Limited’s acquisition of five premium jack-up rigs through BC Ventures stands as a testament to the company's dedication to growth and innovation in the offshore drilling industry. As the energy landscape continues to change, Borr Drilling is well-positioned to respond dynamically to emerging demands, thereby ensuring its status as a leader in this vital sector.
