The acquisition is valued at approximately $1.3 billion, including blue sky, real estate, and operating assets. To finance this substantial transaction, Group 1 plans to utilize new debt arrangements, supported by a bridge commitment. The deal is projected to finalize by the end of 2026, pending regulatory and manufacturer approvals.

Group 1 Automotive has engaged J.P. Morgan Securities LLC as its exclusive financial advisor, with legal counsel provided by Hill Ward Henderson and Vinson & Elkins LLP. Hennessy Automobile Companies is being advised by Kerrigan Advisors and Holland & Knight.
