Access Bright Initiates Legal Action

Access Bright Co., Ltd. (Headquartered in Chuo, Tokyo, CEO: Yoshihiro Kashiguchi) has officially announced its filing of a civil lawsuit against Urueru EC Co., Ltd. regarding the payment of a remaining balance owed under a business transfer agreement. The case is currently in process at the Tokyo District Court.

Background of the Case

In June 2024, Access Bright completed a transfer of its cross-border e-commerce business to Urueru EC. Under the terms of the agreement, Access Bright has already received two-thirds of the total payment for the business transfer. However, Urueru EC has recently notified Access Bright that it will not pay the remaining one-third of the transfer amount. To safeguard its rights as per the contract, Access Bright decided to file a lawsuit in the Tokyo District Court in July 2025.

Access Bright firmly believes that it has adhered to all terms of the business transfer agreement in good faith and has a legitimate claim for the outstanding balance. The company is currently awaiting a fair judgment from the court and is committed to addressing the situation through appropriate legal channels.

Access Bright is dedicated to respecting the court's decision while striving to uphold its legitimate rights. The ongoing legal dispute is not expected to directly impact the company’s operations. The company’s entertainment ventures in China and other business activities continue as usual.

We acknowledge that there have been statements on social media by Urueru EC's representatives alleging "material breaches of representations and warranties". Access Bright strongly refutes these claims, asserting that no such breaches exist. The company confidently initiated this lawsuit to seek the court's impartial and fair judgment.

Although we firmly believe in our position, we intentionally refrained from responding to one-sided and definitive expressions in consideration of the concerns that one party should avoid unilateral statements. We felt compelled to communicate this information following the aggressive and potentially damaging claims made by Urueru EC, as it could tarnish our reputation.
