Uranium Royalty Corp. Secures Shareholder Approval for Strategic Arrangement and Corporate Transition
Uranium Royalty Corp. Receives Key Shareholder Support for Arrangement
In a significant corporate development, Uranium Royalty Corp. (NASDAQ: UROY, TSX: URC) has announced that its shareholders have given overwhelming approval for its previously announced arrangement. This decision marks the beginning of a strategic alignment with Orion Resource Partners (USA) LP and HRG Metals LP, subsidiaries that play pivotal roles in the company's future direction.
The shareholder meeting, held on July 20, 2026, recorded a substantial backing, with approximately 99.43% of the votes cast in support of the proposed plan. The arrangement, set forth in an agreement signed on April 16, 2026, allows for the integration of URC with entities associated with the ‘Sweetwater Investors,’ who collectively hold a 92% stake in various trona royalty assets and land across Wyoming, Utah, and Colorado.
This merger is crucial as it will unite Uranium Royalty Corp. with the Sweetwater Entities under a newly formed parent company, referred to as New URC. The upcoming transition aims to enhance the company’s market standing and operational efficiency, thereby providing value to its shareholders.
While this strategic move is poised for completion pending a final court approval from the Supreme Court of British Columbia, the arrangements are expected to proceed without delays. The anticipated timeframe for finalization is around July 27, 2026, with New URC expected to begin trading on NASDAQ by July 28, 2026, signaling a new chapter for the corporation. However, following the transition, URC’s shares will be delisted from the TSX as the company ceases to be a reporting issuer in Canada.
Notably, this arrangement signifies not just a corporate reorganization but also a shift in leadership. Andy Marshall, the current Chief Financial Officer, will step down to pursue other opportunities post-arrangement, with Eason Chen stepping into the Interim CFO role. The company acknowledges Mr. Marshall for his contributions during his tenure.
Founded as the singular uranium-focused royalty and streaming company globally listed, Uranium Royalty Corp. aims to offer investors a unique exposure to the uranium commodity price through strategic acquisitions in royalties, debt, equity, and physical uranium trades. This focus on uranium is especially relevant given the reemerging global interest in nuclear energy as a cleaner energy alternative.
Overall, as Uranium Royalty Corp. navigates through this pivotal corporate transformation, the future holds promising prospects under the New URC banner, paving the way for greater investor engagement and enhanced stakeholder value.
