Verdera Energy Corp. Launches New Share Buyback Plan Following Share Distribution
Verdera Energy Corp. Launches Share Buyback Plan
On November 2, 2026, Verdera Energy Corp. (TSXV: V) unveiled plans to initiate a new normal course issuer bid (NCIB) designed to repurchase its shares after completing a recent distribution to enCore Energy Corp. shareholders. This decision comes as a strategic move to adjust the company's capital structure following significant changes in stock availability.
The new NCIB allows Verdera to buy back up to 6,389,047 common shares, representing around 9.44% of the adjusted public float and 5.79% of the total outstanding shares after a recent share conversion. Previously, under the existing NCIB that commenced on September 29, 2026, Verdera had the authority to buy back 3,793,152 shares, of which 380,500 shares were successfully repurchased before the program's termination. The cancellation of these shares has now adjusted the overall stock landscape for Verdera, enabling greater flexibility in capital management.
The motivations behind the establishment of the new NCIB are grounded in a desire to optimize the value delivered to shareholders while also recognizing the company's increased capitalization attributable to the distribution of common shares to enCore's stakeholders. This initiative effectively resets the share buyback limits in line with current market conditions and the anticipated demands on stock buybacks as guided by company management.
Commenting on this development, the company's management expressed confidence that purchasing its shares at market values could represent a significant opportunity to enhance shareholder value. The execution of the new NCIB is expected to commence on or after November 6, 2026, and is slated to end by November 5, 2027, or earlier, should the authorized shares be fully purchased or should the company decide to terminate the buyback program ahead of schedule.
It’s essential to note that the company has appointed Haywood Securities Inc. to serve as the designated broker for executing these share repurchases, which will be made through open market transactions on TSXV at prevailing prices. In light of these developments, all shares acquired through the new NCIB will be subsequently canceled, further contributing to the restructuring of the company's issued and outstanding share capital.
This strategic decision aims to align stock repurchases more closely with the revised company profile and the overall market environment. Through diligent management of its capital resources, Verdera is positioning itself for enhanced operational efficiency and increased market competitiveness, especially in an era demanding reliable domestic uranium resources to support a growing market.
