In a significant strategic move aimed at revolutionizing the engineering testing landscape, Averna, a global leader in test and quality solutions, has announced a complete acquisition by Spherea, a well-known provider of testing systems. A Pioneering Partnership



On December 3, 2025, Averna confirmed that Spherea would acquire it entirely, marking a major step in their shared vision to lead the industry. This consolidation is bolstered by support from Andera Partners, a prominent international private equity fund, along with the continued investment from Walter Capital Partners and the leadership teams of both Averna and Spherea. Subject to regulatory approvals, the transaction is expected to close by the end of December 2025.

Patrice Bélie will assume the role of CEO of the new Spherea Group, while François Rainville will remain CEO of Averna and also take on the role of COO of the Spherea Group. This leadership structure aims to leverage the complementary capabilities of both companies to create a powerhouse in engineering testing and quality solutions.

The merging entities will bring together more than 1,800 employees across 13 countries, further solidifying their status as one of the largest independent integrators of testing and quality systems. Their services will cater to a wide array of industries, including aerospace, defense, consumer electronics, medical devices, automotive, transportation, data centers, energy, and infrastructure.
