In a significant move for the environmental services sector, GFL Environmental Inc. has entered into a definitive agreement with Energy Capital Partners (ECP) to recapitalize Green Infrastructure Partners (GIP) at an impressive enterprise value of $4.25 billion. This landmark transaction signals a robust commitment to enhancing business capabilities and shareholder returns.

A Promising Partnership


Founded just three years ago in April 2022, GIP has emerged as a vital player in the infrastructure landscape with a focus on sustainability and operational efficiency. The recapitalization agreement entails that GIP will receive gross proceeds totaling $775 million. A substantial portion, approximately $585 million, will be returned to GIP's shareholders, while $175 million will be allocated for future growth.

GFL's expected share of this distribution is around $200 million, which will bolster its cash reserves and support its strategic initiatives. Post-transaction, GFL is looking at owning about 30.1% of GIP, a stake valued at approximately $895 million. This partnership is aimed at leveraging GIP's growing value, with the anticipation of closing the deal around September 2, 2025.

Visionary Leadership Speaks


Patrick Dovigi, Founder and CEO of GFL, emphasized the significance of this recapitalization, noting, “This achievement stands as a testament to the quality of business that our management team has cultivated since GIP's inception. The proceeds GFL will receive will be employed for general corporate uses including debt de-leveraging and pursuing both organic and inorganic growth strategies.”

Dovigi also highlighted the past success of the original investment of $250 million in GIP, which has surged in value to approximately $1.1 billion within three years. This impressive growth showcases the effectiveness of GFL's management and their strategic approach to shareholder value enhancement.
