Under the deal, Idox shareholders will receive a payment of 71.5 pence per share, resulting in a valuation of approximately £339.5 million on a fully diluted equity basis. This offer reflects a substantial premium of 26.8% over the stock’s closing price on October 27, 2025, the day prior to the public announcement of the acquisition. Additionally, the offer price represents a 29.3% premium over the one-month volume-weighted average price.
The acquisition was first revealed on October 28, 2025, and transitioned into a contractual takeover offer compliant with the UK Takeover Code. Importantly, it garnered overwhelming support from Idox shareholders, surpassing the necessary acceptance threshold for the deal to proceed without conditions.
