S&P Global Expands into Onchain Security with OpenZeppelin Acquisition



In a notable development within the realm of digital finance, S&P Global (NYSE: SPGI) has announced its agreement to acquire OpenZeppelin, renowned for its security standards in onchain finance. This acquisition signifies S&P Global's strategic steps toward bolstering its capabilities in assessing risks and fostering ecosystem development in digital asset markets. The deal is set to empower S&P Global to provide advanced onchain security assessments, benchmarks, and crucial insights during the ongoing transition of capital markets to onchain frameworks.

OpenZeppelin, established in 2015, has built its reputation by integrating leading onchain security assessments and secure development services. The company boasts one of the foremost open-source smart contract libraries in the industry. Its technology currently underpins transactions worth over a staggering $37 trillion, including leading stablecoins and tokenized funds. OpenZeppelin has successfully conducted over 900 security assessments for protocols and institutions that shape the digital asset landscape.

As digital assets and tokenized markets mature, S&P Global's President, Yann Le Pallec, emphasized the company's focus on providing reliable data, benchmarks, and transparent risk assessments. The acquisition of OpenZeppelin aims to enhance S&P's ability to evaluate smart contracts and onchain technology, instilling confidence in financial institutions, both traditional and DeFi-oriented, allowing them to operate effectively in this evolving environment.

Demian Brener, CEO of OpenZeppelin, highlighted the foundational role of OpenZeppelin's standards and technology in securing world-leading stablecoins, tokenized funds, DeFi protocols, and onchain marketplaces. The collaboration with S&P Global aims to expand OpenZeppelin's reach, enabling more institutions to confidently delve into the digital asset space.

OpenZeppelin will continue to function independently under its established name. Brener will remain at the helm of the business, reporting directly to Yann Le Pallec. This strategic acquisition, however, is still pending completion, with necessary closing conditions yet to be met. Financial details of the transaction have not been disclosed, and it is not anticipated to create a significant impact on S&P Global's financial performance.

The move into the digital assets sector is facilitated by Jefferies LLC, acting as the financial advisor for S&P Global, while Clifford Chance serves as the legal advisor. For OpenZeppelin, FT Partners is the exclusive financial and strategic advisor, with Cooley providing legal guidance.
