EigenQ and Silicon Valley Acquisition Corp. Move Forward with Business Combination and Registration Filing

EigenQ, Inc. and Silicon Valley Acquisition Corp. (SVAQ) have made notable progress in their proposed merger, this time through the public filing of a registration statement with the U.S. Securities and Exchange Commission (SEC). This filing represents a pivotal moment in the timeline toward finalizing their much-anticipated business combination.

The registration statement, filed on September 28, 2026, contains a preliminary proxy statement/prospectus related to the proposed business combination. While the SEC has yet to declare the registration effective, this step affirms both companies' commitment to advancing their plans. Until it receives the green light from the SEC, it remains subject to modifications.

In addition to the merger notification, EigenQ recently reported securing about $45 million in convertible financing, with nearly half of that amount already paid. This funding aims to bolster the commercialization of its quantum-safe security products and further its development efforts across various domains including security, communications, and networking.

According to the merger agreement, SVAQ plans to undergo a reorganization into a Delaware corporation, following which its name will change to EigenQ Holdings, Inc. (PubCo). EigenQ will continue to exist as a wholly-owned subsidiary under this new entity. Following the merger's completion, SVAQ intends to have its common stock and public warrants listed on the Nasdaq Global Market under the proposed ticker symbols "EIGQ" and "EIGQW," respectively.

It is essential to note that the approval of the PubCo Public Warrants for listing is not mandatory for the merger to close. Consequently, there’s uncertainty about whether these warrants will be listed on any national securities exchange post-merger. The expected closure of the business combination is in the fourth quarter of 2026.

Dr. José R. Rosas-Bustos, Chief Executive Officer of EigenQ, expressed optimism regarding the registration statement's filing, highlighting it as an essential achievement towards completing the proposed merger with SVAQ. He emphasized the company's ongoing commitment to strategic execution, technology advancement, and efforts to create long-term value.

Reflecting on this major step, Dr. Jesse Van Griensven Thé, chairman of EigenQ, stated that their aim is to create a trusted infrastructure that supports secure operations in the Quantum Era for various entities such as governments and major industries. He believes the merger can significantly broaden EigenQ's platform for innovation while also establishing deeper strategic partnerships and fostering the commercialization of vital quantum technologies moving forward.

In addition to the SEC's review of the registration statement, EigenQ is keen on demonstrating to its current and potential investors the vital details surrounding the proposed business combination. Thus, they are urging all relevant stakeholders to thoroughly examine the registration document as it contains significant insights into the planned merger and its implications.

EigenQ specializes in applied quantum technology, aiming to offer a secure, quantum-safe trust infrastructure tailored to the needs of the Quantum Era. Based in Texas, the company initially focuses on advancing cybersecurity technologies that enhance digital infrastructure through practices like post-quantum cryptography, secure identity management, and more.

On the other hand, Silicon Valley Acquisition Corp. operates as a special purpose acquisition company (SPAC), formed with the intent of facilitating business combinations in various sectors. Their professionalism in navigating such mergers suggests an elaborate understanding of the business landscape, increasing the potential for EigenQ's success as it gears up for its next phase post-merger.

As the companies advance toward the completion of their merger, it becomes increasingly clear that both are poised at the forefront of a technological shift towards quantum capabilities, which could redefine security paradigms across numerous industries. Investors and stakeholders remain observant as these developments unfold, anticipating the enhanced innovation brought forth by the impending combination of EigenQ and Silicon Valley Acquisition Corp.
