The Villages Health Announces Major Restructuring and Acquisition

ORLANDO, Fla., July 3, 2025 – The Villages Health ("TVH"), a reputed healthcare provider in Florida's retirement community, has declared a strategic restructuring plan aimed at optimizing its daily operations and improving patient care. A significant move in this process involves a voluntary filing for bankruptcy under Chapter 11 of the U.S. Bankruptcy Code in the United States Bankruptcy Court for the Middle District of Florida. In conjunction with this restructuring, CenterWell Senior Primary Care, the leading national provider of value-based primary care services for seniors, has entered into a "stalking horse" Asset Purchase Agreement with TVH. This agreement allows CenterWell, which is a healthcare service division of Humana Inc., to acquire TVH's assets while maintaining it as an ongoing concern. This includes eight primary care centers and two specialty care centers. The sale will require a court approval following an auction, where other interested parties can also present offers.
