Dott Updates Bondholders on 2025 Annual Report Timing



On June 1, 2026, Dott, formally known as TIER Mobility SE, provided a significant update concerning the timeline for submitting its 2025 Annual Report. The company has initiated a Written Procedure requesting bondholder approval to extend the deadline for delivering its audited consolidated financial statements until July 17, 2026. This extension is due to the complex nature of the audit process, which involves multiple financial years and jurisdictions, making the timeline for completion more elaborate than initially planned.

Why the Delay?



Dott explained that the delay reflects the volume and sequencing of the audit work necessary across various jurisdictions. The company anticipates that it will be able to provide the audited consolidated financial statements prior to the end of June 2026, ensuring that the new deadline allows for a comprehensive and thorough review process.

As part of the request, Dott proposed to waive any related event of default that may arise solely from this delay. To facilitate this process, Dott also intends to offer a consent fee amounting to 0.50% of the Nominal Amount of each bond to bondholders who approve the request.

Bondholder Approval Process



Currently, Dott has reported receiving commitments from bondholders representing over 50% of the Adjusted Nominal Amount, which surpasses the necessary 20% quorum and 50% consent threshold required for approval. This strong backing indicates a significant level of support among stakeholders in light of the logistical challenges facing the audit process.

To keep their investors informed, Dott will distribute the notice of Written Procedure through Verdipapirsentralen ASA (Euronext Securities Oslo). This notice will also be accessible on the Agent’s website, ensuring transparency throughout the process. Investors are advised that the voting record date is set for June 2, 2026, with the last day to cast votes being June 15, 2026, at 1500 CET. Upon the conclusion of the voting, the results will be disclosed via a press release.
